Awake Market Member: Any person or entity that has a current Awake Market Membership contract with the Company.
Awake Market Seller: Any person or entity that has a current contract (via Shoptype Terms of Service) with the Company to sell products on the Shoptype Platform.
Services: The Awake Market Member will provide the Company with:
- Introductions to potential Co-Sellers (Influencers, Ambassadors), and Company Customers
- Setting up meetings with potential Co-Sellers (Influencers, Ambassadors), and Company Customers
- Evangelism of the Company and Company Products
- Evangelism of any products and services in the Shoptype Platform catalog
- Etc.
TERM: Twelve (12) months for the Awake Market Member that starts operating on Shoptype Platform (the Company’s Shoptype Platform), with the term starting from date their membership is accepted or renewed as recorded by the Shoptype Ledger (the Company’s official record of transactions on the Shoptype Platform) after the Awake Market Member has been accepted by the Company.
Awake Market Member Application Process: The process by which the Company receives, reviews, and either accepts or rejects an application to become an Awake Market Member for the TERM, renewable upon mutual agreement of the Awake Market Member and the Company. The acceptance or rejection of the Awake Market Member application is at the Company’s sole discretion. An application to become an Awake Market Member may be rejected for many reasons, such as the applicant provided fraudulent information or failed Company Compliance.
During the application process, the applicant may specify the referring Awake Market Member who invited them to become an Awake Market Member, establishing an Awake Market Member Connection which implicitly includes the referred Awake Market Member’s agreement to pay 5% of their Member Earnings to the referring Awake Market Member for the TERM.
Awake Market Member Connection: The referral relationship between a referring Awake Market Member and a referred Awake Market Member exists where the referral relationship:
- Has been established through the Awake Market Member Application Process
- AND mutually agreed upon by the referring and referred parties
- AND approved by the Company for a TERM
- AND registered in the Shoptype Ledger
The Awake Market Member Connection is renewable and approval or rejection is at the Company’s sole discretion.
Networking Fee: Compensation earned from Gross Sales (sales on the Shoptype Platform where the sale and attribution for the Awake Market Member’s influence on the sale are recorded in the Shoptype Ledger). The Networking Fee is calculated for each sale based upon specific percentage criteria determined by each Awake Market Seller as recorded in the Shoptype Ledger.
Circumstances such as Networking Fee overpayments or returns of product where sale was attributed to the Awake Market Member may result in an adjustment to the Awake Market Member’s Networking Fees.
PAYMENT SCHEDULE
Member Payment: The Awake Market Member will be paid Member Payment according to the following payment schedule, and this schedule overrides all other previous schedules for all Member payments:
- If a current and valid referring Awake Market Member Connection exists
- Five percent (5%) of the Member Earnings will be paid to the referring Awake Market Member
- The remaining ninety five percent (95%) of Member Earnings will be paid to the Awake Market Member
- If a current and valid referring Awake Market Member Connection does not exist
- Five percent (5%) of the Member Earnings will be paid to Company as the referring Awake Market Member
- The remaining ninety five percent (95%) of Member Earnings will be paid to the Awake Market Member
Member Earnings: The Awake Market Member will accrue member earnings as follows:
- One hundred percent (100%) of their Networking Fees
- AND Five percent (5%) of their Awake Market Member Connections’ Member Earnings
For sales on the Shoptype Platform as recorded in the Shoptype Ledger during the TERM.
Circumstances such as Networking Fee overpayments or returns of product where a sale was attributed to the Awake Market Member or their Awake Market Member Connections may result in an adjustment to the Awake Market Member’s Networking Fees or Member Earnings.
All payments will be paid monthly.
Payments will be made for the TERM for each applicable Company customer.
For the purpose of clarity regarding referrals – the Awake Market Member may share payments with others. For instance, the Awake Market Member may use payments to incentivize third parties to collaborate.
